These Rules and Regulations which are part of the Bullion Capital Club Marketing Plan are provided as guidelines for the Club Members and are considered a part of the independent Club Member Agreement and are incorporated therein by reference. Nothing contained within the Rules and Regulations of the Bullion Capital Club Program shall be construed to create an employee / employer relationship between the parties thereof. Each Member understands that he / she will not be employees, including, but not limited to, the Federal Insurance Contributions Act, the Federal Employment Tax Act, income tax withholding at the source, or for federal or state laws. Bullion Capital Club will file IRS form 1099 for any Referral Commission earnings paid to its Members. WHEREAS: Bullion Capital Club is engaged in the business of making Gold and Silver Bullion Coins available to its Members; and WHEREAS: Bullion Capital Club Members are desirous of owning said coins, both parties come together in mutual agreement as follows. Said gold and silver coins will be either American Eagles, African Krugerrands, Canadian Maple Leafs, American Buffaloes, Vienna Philharmonics, and / or gold or silver rounds and bars according to availability. Bullion Capital Club is offering gold and silver bullion coins to it's Members in a sales and marketing plan that allows Members to purchase coins by placing a deposit down payment of 1/2 (One Half) of the Purchase Agreement price and to EARN the other one half of the balance due in commissions for referring THREE other Club Members to the Club who also place a deposit to purchase Gold and Silver Bullion Coins in the same denomination of Purchase Agreement. The undersigned person is applying to become a Member of Bullion Capital Club and to earn commissions for referring other Club Members who also participate in gold and / or silver Purchase Agreements. There is no cost or annual dues to become a member. There is no requirement that Club Members purchase any certain amount of gold and / or silver. With your signature below, you are agreeing to all of the terms of this Agreement. Rules and regulations appear below: 1. The undersigned Club Member (YOU) shall be entitled to all benefits that accrue equally to each Independent Club Member. As an independent Club Member, YOU are entitled to purchase gold and / or silver coins, rounds or bars in any of TEN different Purchase Agreement denominations. Purchase Agreement denominations are as follows: $200, $400, $800, $1,600, $3,200, $5,000, $10,000, $20,000, $40,000 and $60,000. 2. To make a Purchase, YOU fill out a Purchase Agreement and send it to the company with the appropriate ONE HALF down payment deposit. Make your deposit check or money order payable to Bullion Capital Club. 3. To complete your agreement and satisfy the balance due on YOUR own agreement, YOU refer THREE other Club Members who also fill out a Purchase Agreement and place a deposit on said Agreement at the same denomination level. After your THREE referred Members place their deposits YOUR Purchase Agreement is complete, and YOU earn a commission equal to the amount of your own Purchase Agreement deposit. . YOUR commissions are then applied to the balance due on YOUR own agreement, and YOU are sent the appropriate amount of gold and / or silver bonus. 4. Example of a $200 PA: (1.) YOU place a deposit of $100 on a $200 Purchase Agreement. (2.) Refer THREE other Members who also place a deposit of $100 on their own $200 Purchase Agreement. Once all THREE of your referred Member's deposits are placed, (YOU) earn a commission of $100 on the combined THREE deposits. The $100 of earned commissions are then applied to YOUR own $100 deposit and YOU receive a $200 gold and / or silver bonus. This works exactly the same way in all TEN Purchase Agreement Levels. The only difference is the amount of the Purchase Agreement, the 1/2 deposit amount that is due for said agreement and the commissions earned. (See the chart on the Bonus Plan Page of the Bullion Capital Club web site. 5. Bullion Capital Club Members purchase Gold and Silver Bullion Coins at the current market gold and silver coin dealer price being charged by licensed gold and silver dealer / brokers. Bullion Capital Club does NOT mark up the price of the gold and silver. Bonuses are calculated and paid according to the current "spot prices" prevailing at the time bonuses are shipped from our coin dealers office. Coin dealer / brokers charge a premium on top of the "Spot Price". 6. Bullion Capital Club does NOT handle your gold or silver. Bullion Capital Club has contracted with Licensed Coin Dealers to ship bonuses. When you refer THREE other members and are due a bonus Bullion Capital Club places your order with it's Coin dealer / broker within 48 hours after bonus is earned. Said coin dealer / broker then has 14 days to ship your order to the address shown on Member's Purchase Agreement. Said bonus shipment will require Members signature indicating that Member has received said shipment. 7. The cost of shipping and insurance is subtracted from YOUR bonus before it is shipped to you. 8. No Referral Bonus will be paid to Members for their own personal agreements. Gold and Silver Referral Bonuses are only paid when YOU refer THREE other Members who also place a deposit and purchase gold and silver coins in the same denomination PA that YOU are purchasing. 9. YOUR bonuses are not based on what YOUR referred Members do or don't do concerning their own referral efforts. AFTER they place their deposit you are credited for the deposit and are paid a gold and / or silver bonus once deposits from THREE referrals are placed. 10. Member understands that this is NOT a Multi-Level, Pyramid, Binary, or Forced Matrix type of marketing plan. Member also understands that ALL Club Members have the same opportunity to earn referral commissions by referring other Club Members. No bonuses are paid to YOU for any referrals made by other Club Members. YOU only earn commissions for the Members that YOU personally refer who also participate in gold and silver Purchase Agreements at the same denomination agreement levels. 11. All Club Members are independent contractors, and not employees agents or partners of Bullion Capital Club, and may not incur any liability or obligations of any kind in the name of Bullion Capital Club. Bullion Capital Club will file an IRS form 1099 for any Referral Commissions paid to independent Club Members under this agreement. 12. Club Members may not use the Bullion Capital Club name or service marks, self created marketing materials or advertising materials of any kind without prior written approval by the Company. 13. Bullion Capital Club is a people to people word of mouth opportunity. Club Members may NOT advertise in newspapers, magazines, or any other publications using the Bullion Capital Club name or logo. Club Members may NOT use computer technologies, auto responders or computer marketing programs to spam - blast this opportunity to others. Bullion Capital Club will not tolerate SPAM or any other type of mass advertising to promote the Club. Any Violations of these advertising rules may be cause for cancellation of YOUR Membership. 14. Member warrants that she/he is of legal age in Member’s resident state. 15. This agreement will renew automatically each year unless Member terminates the agreement in writing. 16. Club Member has been advised that the gold and silver coins can be ordered directly from some U.S. Banks as well as from a variety of licensed coin dealers; and that the Company has no exclusive agreements with the U.S. Mint or any other private or governmental entity regarding the purchase or distribution of the gold and silver coins. However, Bullion Capital Club trades daily in the international gold and silver coin market and makes the gold and silver coins available to its Members at competitive coin dealer market prices. 17. Any Applicant who applies to Bullion Capital Club as a Corporation, Partnership, or any other entity other than a sole proprietorship shall appoint one person from said company to represent Company as a Member with Bullion Capital Club. This person only shall have sole rights and responsibilities as a Club Member and shall abide by all Rules and Regulations herein. It shall be the responsibility of any Applicant to notify Bullion Capital Club of all owners, partners, principals, and shareholders of their respective applicant company. Additionally it shall be the responsibility of any applicant to notify Bullion Capital Club of any change of ownership interest in the above applicant company. This information shall be held in strict confidence by Bullion Capital Club. 18. All Gold and Silver Coin Purchase Agreements and / or Independent Club Member Applications and Agreements shall be filled out completely by the Members and /or Applicants. They must be accurate, and legible and mailed to the Bullion Capital Club home office along with appropriate form of payment within 72 hours from the date Member signs and executes the agreement and / or application. All agreements and applications submitted to Bullion Capital Club which are not filled out completely, accurately, and legibly, including necessary signatures, shall be returned to prospective Member / applicant immediately. This could delay the payment of bonuses. 19. All monies sent to Bullion Capital Club for deposits on Gold and Silver Coin Purchase Agreements, must be in the form of a Personal Check, Cashiers Check or Money Order payable to Bullion Capital Club. No other form of payment will be accepted. 20. Bullion Capital Club reserves the right to change prices, company literature, company policy and /or Company Marketing Plan with a ten (10) day written notice. However, Bullion Capital Club must receive the approval of the Independent Membership Advisory Board prior to any amendments to the Company Marketing Plan. Bullion Capital Club reserves the right to institute, alter, or modify changes as required. The purchase price of Bullion Capital Club’s products may be adjusted to reflect changes in the cost of doing business. Said changes will be presented to Independent Club Members in writing. 21. Bullion Capital Club reserves the right to terminate an Independent Club Member when said Member fails to abide by Rules and Regulations of the Company Marketing Plan, and the Code of Ethics contained herein. Additionally Bullion Capital Club may terminate a Member for fraud, misrepresentation, misconduct, wrong doings, or failure to process mail and / or money as outlined in Rules and Regulations of the Company Marketing Plan. In the event of such termination, Club Member will lose all rights to future Referral Bonuses. 22. Independent Club Members will be solely responsible for earning commissions and completing their own Purchase Agreements. Club Member hereby acknowledges that no other Club Member or staff member of Bullion Capital Club has promised to complete YOUR agreements for YOU. 23. Company reserves the right to limit or suspend for a time all new applications if growth is too rapid to properly service existing Club Members. 24. This agreement shall be governed by the laws of the State of Texas, and said agreement will be binding upon receipt and acceptance thereof at the Bullion Capital Club address. 25. Bullion Capital Club will acknowledge receipt of agreement and deposits by U.S. mail or by e-mail. 26. Club Members shall indemnify and hold harmless Bullion Capital Club, its officers and directors against any claim, liability, or expense, including attorney fees, resulting from Member's conduct of its business as an Independent Club Member of Bullion Capital Club. 27. Bullion Capital Club was created as a unique opportunity for Club Members to own gold and silver and to EARN commissions for referring other Club Members to the Club. Club Member acknowledges that all commissions EARNED for referrals will be applied to the deposits on Club Members own Purchase Agreements. Once said commissions are applied to complete Members agreement, Club Member will be sent the appropriate gold and /or silver bonuses due. 28. By placing your signature below, you are acknowledging that you are joining the Club for the sole purpose of earning commissions and gold and / or silver bonuses in the Company Marketing Plan and that your commissions will be added to your deposits in order to complete your own Purchase Agreements. You also agree to abide by all of the Bullion Capital Club rules and regulations and you agree to take FULL responsibility for your own actions. NOTICE: If you are NOT intending to EARN commissions for referring other Club Members, it is strongly advised that you DO NOT get involved in this program. Bullion Capital Club is NOT a bank or holding company for deposits. YOU CANNOT BENEFIT FROM THIS PROGRAM UNLESS YOU ARE WILLING TO REFER AT LEAST THREE OTHER MEMBERS WHO ALSO PURCHASE AND PARTICIPATE IN THE GOLD AND SILVER REFERRAL BONUS PROGRAM. This agreement constitutes the entire agreement between the parties hereto and no other representations or agreements shall be binding on the parties unless in writing.
